1. Acceptance and scope
By using Philio.ai, you agree to these Terms. Please read the Privacy Policy, which explains data handling. If you do not agree to the Terms, do not use the service. These Terms do not remove rights or remedies that applicable law gives you.
2. Educational purpose and independent judgment
Philio.ai supports social-emotional learning through check-ins, quests, reflection and an AI companion. It is for education, self-reflection and general information. AI can produce inaccurate, incomplete, biased or unsuitable responses, even when they sound confident. Use independent judgment, check important information against reliable sources and seek qualified advice where needed. You remain responsible for decisions you make using the service.
3. No professional care or emergency support
The service does not provide medical care, psychological treatment, diagnosis or professional advice, including medical, mental-health, legal or financial advice. It does not replace qualified professionals. Phil is an AI companion, not a human professional. Messages are not monitored for emergencies, and safety filters may miss risks. If you or someone else faces immediate danger, contact local emergency services or a trusted adult or qualified professional immediately; do not wait for Philio.ai.
4. Age, accounts and local records
Users under 18 should use the service with appropriate guidance from a parent, guardian, teacher or school. Schools and organisations must arrange any permissions required for their use. Keep account credentials secure and notify us of suspected misuse. Local records may be accessible to others using the same browser, may persist after sign-out and do not automatically transfer to another device. Keep your own copies of information you need.
5. Acceptable use
Do not use the service for unlawful activity, fraud, harassment or infringement of others’ rights; submit malicious code or information you have no right to disclose; impersonate others; bypass security or access systems without permission; disrupt the service; or conduct abusive automated scraping or requests. These rules do not restrict honest criticism, complaints, lawful reporting or statutory remedies.
6. AI submissions
Messages and relevant context are sent to DeepSeek when the AI service is configured, as detailed in Privacy. Avoid personal or confidential information, including other people’s information without permission. A local fallback response does not mean that a request was never sent to a provider; a request may already have been processed before a timeout or error.
7. Intellectual property and your content
Philio.ai branding, original characters, interface, text, images and code are protected by applicable intellectual-property laws; third-party materials remain subject to their owners’ rights. Subject to these Terms, you may use the service for personal learning under a limited, non-exclusive, non-transferable licence. Do not reproduce, sell or commercially exploit substantial service content without permission, except as permitted by law. You retain rights in your submissions and permit their processing only as needed to deliver the requested features and handle security or legal obligations described in Privacy. AI output may not be unique or free of third-party rights.
8. Availability, outcomes and records
We do not guarantee any educational, emotional or other outcome, the accuracy of AI output, uninterrupted or error-free availability, or the preservation or recovery of lost records. Browser clearing, resets, device changes, maintenance, network failures and third-party outages may affect access or records. These statements do not remove any duty of reasonable care or mandatory legal guarantee.
9. Changes, suspension and responsibility
We may change, suspend or discontinue features. We may restrict access where reasonably necessary for a material breach, security, misuse or a legal requirement. Where reasonably practicable, we will give notice of material changes or restrictions and an opportunity to address a breach; urgent safety or legal issues may require immediate action. You are responsible, to the extent allowed by law, for reasonably evidenced losses directly caused by your deliberate unlawful conduct, fraud or grossly negligent breach. You are not responsible for our negligence, unlawful conduct or matters we should reasonably control.
10. Reasonable liability limitations
To the extent permitted by law and only where fair and reasonable in the circumstances, Philio.ai excludes liability for indirect or consequential loss, and loss of profit, business or opportunity arising from use, inability to use, reliance on AI, lost records or third-party services. This is not a blanket waiver of liability: direct losses remain subject to applicable law. Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer rights and remedies remain unaffected. An unenforceable limitation applies only to the extent lawfully permitted; the remaining Terms continue where legally possible.
11. The University of Hong Kong disclaimer
Any opinions, findings, conclusions or recommendations expressed in this material/publication (or by members of this company) do not reflect the views of The University of Hong Kong or HKU Techno-Entrepreneurship Core.
12. Law, updates and contact
These Terms are governed by the laws of the Hong Kong Special Administrative Region, subject to any mandatory protections that apply to you. Parties should try to resolve disputes in good faith; either party may still use competent courts, regulators or other lawful remedies. Updated Terms will appear here with their revision date, with reasonable notice of material changes where practicable. Questions may be sent to the existing contact address: info@philio.ai.
13. Language versions
In the event of any inconsistency or ambiguity between the Chinese and English versions of these Terms, the English version shall prevail, except to the extent otherwise required by applicable law.
